RLTasks Single-Purchase Commercial Training and Evaluation Licence
Version 1.1 — effective 11 August 2026
This licence is offered by Yotta Content LTD, a private limited company registered in England and Wales under company number 12683376, with its registered office at 71–75 Shelton Street, London, Greater London, United Kingdom, WC2H 9JQ (Yotta, we, us or our). RLTasks is a product or trading name used by Yotta and is not a separate contracting party.
This licence applies to the single marketplace listing, package or other licensed item identified in the Purchase Record. It is intended only for customers acquiring that item in the course of a business, trade, craft or profession.
Plain-English summary
This summary is for convenience only. The numbered terms below form the agreement.
- One purchase licenses one identified Licensed Item to one legal organisation. A Licensed Item may be one fixed task, one procedural task family or RL environment, or a bundle only where the Purchase Record expressly lists every included task or environment ID.
- The downloaded materials are licensed worldwide, perpetually, non-exclusively and for commercial model training, evaluation, research and development.
- The Customer may generate and retain unlimited internal episodes, prompts, observations, trajectories, rewards and evaluation records from the Licensed Item.
- Employees, contractors and necessary cloud, model-inference and technical service providers may use the materials solely for the licensed organisation and under appropriate confidentiality and no-independent-use restrictions.
- The Customer may commercialise models, agents, products and services developed through permitted use.
- The Task Package, generated task corpus, evaluator materials, credentials and non-public documentation may not be resold, sublicensed, publicly uploaded or supplied to another organisation.
- Source code and locally delivered verifier logic may be inspected, modified and self-hosted. A Customer must not misrepresent an evaluator-informed run as sealed, unseen or canonical.
- New versions, updates, support and hosted-verifier usage are included only where the Purchase Record expressly says so.
- Third-party and open-source materials remain subject to their own licences.
Purchase Record
The completed Purchase Record delivered with an Order forms part of this licence. A Delivery Manifest may be incorporated by reference and may list more than one file belonging to the same Licensed Item.

Licence terms
1. Agreement and business status
1.1 This licence, the completed Purchase Record, the Delivery Manifest, any task-specific technical schedule, the archived marketplace listing as displayed at the time of purchase, and any document expressly incorporated into the Purchase Record together form the agreement between Yotta and the legal entity identified as the Customer in the Purchase Record (Customer).
1.2 The person accepting this licence represents and warrants that:
- they are acting in the course of a business, trade, craft or profession;
- they have authority to bind the Customer; and
- the Licensed Item is not being acquired wholly or mainly for purposes outside that business, trade, craft or profession.
1.3 The agreement becomes binding when the Customer accepts this licence through the checkout or another recorded acceptance process and Yotta or its payment processor confirms successful payment. Access, download or use is conditional on this licence even where an administrative or technical error allows access before the acceptance record is completed.
1.4 This licence is not intended for consumer purchases and does not replace any mandatory consumer rights. A person wishing to purchase wholly or mainly outside their business, trade, craft or profession must contact Yotta before ordering.
1.5 Yotta may decline or cancel an Order before delivery where reasonably necessary for fraud prevention, sanctions compliance, export-control compliance, manifest error or pricing error. If Yotta cancels a paid Order before delivery, it will refund the amount received for that Order.
2. Definitions
In this licence:
Account means the authenticated RLTasks account through which an Order is made or administered.
Authorised User means an employee, officer or individual contractor of the Customer who:
- needs access for the Customer's permitted use;
- acts only for and on behalf of the Customer; and
- is bound by confidentiality and use restrictions at least as protective as this licence.
Business Day means a day other than a Saturday, Sunday or public holiday in England on which banks in London are generally open for business.
Customer Model means an artificial-intelligence or machine-learning model, agent, system or related software trained, fine-tuned, tested, benchmarked, evaluated, aligned or improved using the Licensed Item or Generated Materials.
Customer Modification means code, configuration, adapters, documentation or other material newly authored by or for the Customer that modifies or interoperates with the Task Package, excluding Yotta Materials and Third-Party Materials contained within it.
Customer Output means a patch, response, model-generated trajectory, score, report, analysis, model output or other result generated by or for the Customer through permitted use, excluding the underlying Yotta Materials, Third-Party Materials and environment-generated materials supplied by the Licensed Item itself.
Delivery Manifest means the purchase-specific or release-specific record identifying the files, versions, hashes, image digests, task IDs and other components delivered for the Licensed Item.
Evaluator Materials means verifier source or binaries, reward functions, hidden truth, holdout cases, private seeds or namespaces, evaluator-only observations, expected-information functions, answer keys, reference actions, reference solutions, tests, scoring logic and related materials.
Generated Instance means an episode, case, problem, prompt, initial state, environment state or other instance generated by executing a procedural Licensed Item.
Generated Materials means Generated Instances and the prompts, observations, actions, tool traces, trajectories, rewards, scores, labels, state transitions, replay records and internal datasets generated from them, excluding Customer Models and Customer-authored material that qualifies as Customer Output or Customer Modification.
Hosted Verifier means any non-downloadable verifier, scoring endpoint, hidden-test service, sandbox, private generator, hosted environment or related functionality expressly included in the Purchase Record.
Licensed Item means the exact fixed task, procedural task family, RL environment or expressly identified bundle listed in the Purchase Record, together with the purchased version and included task or environment IDs.
Order means the Customer's purchase of the Licensed Item through RLTasks.
Permitted Service Provider means a cloud, hosting, model-inference, data-processing, MLOps, security, consultancy or other service provider that processes or accesses materials solely to provide services to the Customer and has no independent right to use those materials.
Public Listing Content means the title, public description, public technical passport, displayed samples, public model results and other information made openly available on the applicable RLTasks landing page.
Purchase Record means the completed purchase-specific record above or an equivalent electronic certificate issued by Yotta.
Reference Materials means supplied example prompts, example trajectories, calibration reports, baseline runs, model-result files, run scripts, rubrics, smoke cases and similar examples or validation materials.
Task Package means all downloadable files listed in the Delivery Manifest, which may include ZIP archives, source code, wheels, fixtures, generated examples, tests, containers or OCI images, Dockerfiles, harnesses, APIs, documentation, Reference Materials, manifests and other components supplied by Yotta for the Licensed Item.
Third-Party Materials means software, data, code, documentation or other content owned or licensed by a third party and included in, distributed with, downloaded by, or required by the Licensed Item.
Yotta Materials means the Licensed Item, Task Package, Evaluator Materials, Reference Materials, Public Listing Content, Yotta-authored elements of Generated Materials, documentation, task designs, selection and arrangement, and all other materials in which Yotta or its licensors hold rights, excluding Customer Models, Customer Modifications and Customer Outputs.
3. Licence grant
3.1 Subject to final receipt of the applicable fee and continued compliance with this licence, Yotta grants the Customer a worldwide, perpetual, non-exclusive, non-transferable and non-sublicensable licence to use the purchased version of the Licensed Item for the Customer's own commercial training, evaluation, research and development purposes.
3.2 The Customer may, through Authorised Users and Permitted Service Providers:
- download, store, install, execute, reproduce and self-host the Task Package within systems controlled by or operated for the Customer;
- inspect, test, debug, configure, adapt and modify source code, generators, verifiers, harnesses and documentation delivered in the Task Package;
- integrate the Licensed Item with models, agents, orchestration systems, sandboxes, evaluation harnesses and computing infrastructure;
- generate, reproduce, store and use any number of Generated Instances and Generated Materials for the Customer's internal training, evaluation, testing, benchmarking, curriculum design and research;
- assemble internal training or evaluation datasets from Generated Materials and Customer Outputs;
- use the Licensed Item and Generated Materials to train, fine-tune, test, benchmark, evaluate, validate, align, red-team and improve Customer Models;
- use Reference Materials for internal implementation, calibration, demonstration and training, subject to the publication and redistribution restrictions in this licence;
- generate and use Customer Outputs;
- make a reasonable number of internal working, caching, disaster-recovery and backup copies; and
- use any Hosted Verifier within the term, quota, rate limits and technical conditions stated in the Purchase Record.
3.3 To the extent Yotta owns or controls rights needed for the permitted use of Generated Materials, those rights are included in the licence under clause 3.1. Nothing in this licence claims ownership over facts, ideas, methods or material that is not protected by intellectual-property law.
3.4 The Customer may commercially deploy, license, sell, host or otherwise exploit Customer Models and Customer products or services developed through permitted use, provided that doing so does not distribute, disclose or provide access to Yotta Materials in breach of this licence.
3.5 The Customer may use the Licensed Item to provide training, testing, benchmarking or evaluation services to a third-party client where:
- the Licensed Item and all non-public Yotta Materials remain under the Customer's control;
- the client receives only Customer Models, Customer Outputs or permitted result summaries;
- the client receives no independent access to the Task Package, Hosted Verifier credentials or a substantial non-public Generated Materials corpus; and
- the arrangement is not a disguised sublicense, shared benchmark service or redistribution of the Licensed Item.
3.6 Rights to a Hosted Verifier are limited, revocable service-access rights governed by clause 12 and are not perpetual unless the Purchase Record expressly says otherwise.
3.7 Yotta may license or sell the same or similar materials to other customers. No exclusivity, withdrawal, holdout reservation or most-favoured treatment is granted unless expressly stated in a separately signed agreement.
3.8 Except for the rights expressly granted, no rights are granted by implication, estoppel or otherwise.
4. One-organisation scope and permitted access
4.1 The licence is granted only to the single Customer legal entity identified in the Purchase Record.
4.2 The licence does not automatically extend to the Customer's parent companies, subsidiaries, sister companies, portfolio companies, clients, customers, research partners, consortium members or other affiliates.
4.3 Authorised Users receive no independent rights. Their access is solely on behalf of the Customer, and the Customer is responsible for their acts and omissions as if they were the Customer's own.
4.4 A Permitted Service Provider may receive the minimum access reasonably necessary to provide services to the Customer. The Customer must ensure that the provider:
- uses the materials only for the Customer;
- does not use them to train or improve the provider's own general models, datasets or products unless Yotta separately agrees in writing;
- does not disclose them to another customer or legal entity;
- applies reasonable security controls; and
- deletes or returns the materials when they are no longer required, subject to ordinary inaccessible backups.
4.5 Access by a Permitted Service Provider under this clause is not a sublicense. The Customer remains responsible for that provider's compliance.
4.6 A separate legal entity must obtain its own licence unless it is expressly identified as an additional licensed entity in the Purchase Record.
4.7 Only the task or environment IDs expressly listed in the Purchase Record are licensed. If a delivery accidentally contains a separable unlisted task, environment or dataset, the Customer must not use that unlisted item and should notify Yotta. This does not prevent use of shared libraries or technically inseparable support code necessary to operate a listed item.
5. Customer Models, Generated Materials, outputs and modifications
5.1 As between Yotta and the Customer, and subject to applicable law and rights in Third-Party Materials:
- the Customer retains its rights in Customer Models, Customer Outputs and the newly authored portions of Customer Modifications; and
- Yotta and its licensors retain their rights in Yotta Materials and the underlying portions of any Customer Modification that reproduce or derive from Yotta Materials.
5.2 Yotta does not acquire ownership of a Customer Model merely because the Customer trained, tested or evaluated it using the Licensed Item.
5.3 The Customer may retain and reuse Generated Materials internally for the duration of the licence. This does not transfer ownership of Yotta-authored prompts, environment logic, rubrics, verifier expression or other Yotta Materials embodied in those Generated Materials.
5.4 The Customer receives no right to distribute Yotta Materials merely because they are embedded, quoted, memorised, reconstructed or reproduced in a Customer Model, Customer Output, Customer Modification or internal dataset. The Customer must take reasonable steps to prevent intentional extraction or public reproduction of material portions of non-public Yotta Materials.
5.5 A Customer Modification may be used internally with the Licensed Item and may be embodied in a Customer product, provided that distribution of the product does not expose or distribute Yotta Materials beyond what is permitted by this licence or an applicable Third-Party licence.
5.6 Where a Customer Output or Customer Modification includes Third-Party Materials or Yotta Materials, use of that portion remains subject to the applicable underlying rights and this licence.
6. Publication and integrity of results
6.1 The Customer may publish aggregate or summary evaluation results produced through permitted use, including model scores, pass rates, reward values, timing information, token usage, failure-mode summaries and methodological observations.
6.2 Any public report should, where reasonably practical:
- identify the Licensed Item, task ID and exact version;
- identify the model and material model version used;
- state the number of runs, date or period of evaluation and material inference settings;
- distinguish training use from held-out evaluation use;
- distinguish local or self-hosted evaluation from Yotta-hosted sealed evaluation;
- disclose material modifications to the supplied runtime, generator, verifier, prompt, seed policy or scoring method;
- state whether the acting model or policy had access to Evaluator Materials, Reference Materials, exact likelihoods, exact posterior functions, calibration fixtures or prior task-specific training; and
- avoid implying endorsement by Yotta or RLTasks.
6.3 The Customer must not describe a result as official, RLTasks verified, canonical, sealed, unseen or equivalent unless the methodology satisfies the applicable published RLTasks criteria or Yotta has confirmed that description in writing.
6.4 Public reporting must not reveal or enable practical reconstruction of:
- hidden truth, holdout tests or holdout actions;
- non-public verifier logic, private seeds or private namespaces, whether or not delivered for local use;
- reference solutions or answer keys;
- access credentials;
- non-public fixtures or source materials; or
- substantial portions of any other non-public Yotta Materials.
6.5 The Customer may reproduce Public Listing Content and brief, proportionate excerpts of Reference Materials for accurate citation, commentary or reporting, subject to applicable law and any displayed attribution notice.
6.6 Public baseline, calibration and model-result files are informational snapshots produced under the stated methodology. They are not a promise of future or independently reproducible performance.
7. Restrictions
The Customer must not, and must not permit any person other than an Authorised User or Permitted Service Provider acting within clauses 3 and 4 to:
7.1 sell, rent, lease, sublicense, assign, donate, publish, upload, disclose, distribute or otherwise make Yotta Materials available to another legal entity or the public;
7.2 use Yotta Materials to operate a shared dataset, benchmark, task library, evaluation service, environment service, marketplace or other offering through which a third party can access or substantially reproduce Yotta Materials;
7.3 create or distribute a competing task, dataset, benchmark or environment by copying or substantially reproducing non-public Yotta Materials, evaluator logic, reference solutions or protected task expression. This clause does not prohibit independent development using general ideas, methods, skills, experience or know-how that does not copy Yotta Materials or misuse confidential information;
7.4 disclose the Task Package or a substantial generated task corpus through a public code repository, model repository, dataset repository, file-sharing service, publication supplement or publicly accessible storage location;
7.5 deliberately train, configure or provide a model or service for the purpose of reproducing or distributing material portions of non-public Yotta Materials to unauthorised persons;
7.6 share Account credentials, buyer-specific entitlement links, temporary download URLs, Hosted Verifier keys or other access credentials outside the Customer and its properly authorised administrators;
7.7 misrepresent the integrity of an evaluation, including by describing an evaluation as sealed, canonical or held out where the acting model or policy had access to hidden truth, holdout answers, evaluator-only signals or other information inconsistent with that description;
7.8 use a Hosted Verifier to extract, reconstruct or infer hidden tests, private seeds, reference solutions or protected infrastructure beyond ordinary good-faith training and evaluation, or conduct vulnerability scanning or penetration testing against a Hosted Verifier without Yotta's prior written permission;
7.9 bypass or interfere with authentication, quotas, rate limits, access controls, logging, integrity checks, anti-abuse controls or other technical protections;
7.10 remove, obscure or alter copyright, proprietary, attribution or licence notices, except for a technically necessary internal transformation where equivalent notices remain in accompanying documentation;
7.11 use Yotta Materials in violation of applicable law, sanctions, export controls or third-party rights; or
7.12 intentionally upload personal data, production credentials, access tokens, regulated data, third-party trade secrets, malware or other material the Customer is not authorised to submit to a Hosted Verifier.
7.13 Nothing in this clause prohibits inspection, debugging, modification, security review or self-hosting of Evaluator Materials delivered in source or executable form, provided the Customer complies with clauses 6 and 7 and does not attack a Yotta-hosted system.
8. Ownership and feedback
8.1 Yotta and its licensors retain all right, title and interest in and to Yotta Materials, including intellectual-property rights in Yotta's original task designs, code, procedural generators, packaging, documentation, harnesses, verifier materials, selection, arrangement and improvements made by or for Yotta.
8.2 This licence is a licence of rights, not a sale or assignment of intellectual property.
8.3 The Customer may provide suggestions, corrections or other feedback. Where the Customer intentionally submits feedback to Yotta for product improvement, the Customer grants Yotta a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use and incorporate that feedback. This clause does not grant Yotta rights in Customer Models, Customer confidential information, Customer Outputs or Customer Modifications merely because Yotta receives them in a support request or Hosted Verifier submission.
8.4 Neither party may use the other party's name, trade marks or logos in publicity, customer lists or endorsements without prior written consent, except that Yotta may identify itself as the licensor in purchase records, invoices and licence certificates.
9. Third-Party Materials
9.1 The Licensed Item may contain, depend on or download Third-Party Materials, including open-source software. Those materials are governed by their applicable third-party licences, notices and terms.
9.2 To the extent of a direct conflict, the applicable third-party terms control solely in relation to the relevant Third-Party Materials.
9.3 Yotta will provide notices that it is legally required to provide and will use reasonable efforts to identify bundled Third-Party Materials in the Delivery Manifest, a third-party notices file, a software bill of materials or accompanying documentation.
9.4 The Customer is responsible for reviewing and complying with third-party notices and licences applicable to its use, distribution or deployment of Third-Party Materials.
9.5 Restrictions in this licence do not reduce rights granted directly to the Customer under a separate third-party or open-source licence for a separable Third-Party Material. The Customer must not use that exception to distribute Yotta Materials combined with or surrounding the Third-Party Material.
9.6 Yotta grants no rights to Third-Party Materials beyond the rights Yotta is authorised to grant.
9.7 Yotta does not guarantee that third-party package repositories, model APIs, container registries or other external services will remain available or compatible after delivery unless the Purchase Record expressly says otherwise.
10. Delivery, account access and re-downloads
10.1 Delivery occurs when Yotta makes the purchased Task Package available through the Customer's Account or otherwise provides access to the artefacts identified in the Delivery Manifest.
10.2 The Customer's Account may contain a persistent, buyer-specific entitlement page. That page is an account-bound access route and is not itself a public, anonymous or transferable download URL.
10.3 When an authorised download is requested, Yotta may generate a temporary signed storage URL. The URL may expire after a short period and must not be shared.
10.4 The canonical Task Package may be accompanied by a separate buyer-specific Purchase Record or licence certificate. The Purchase Record and Delivery Manifest identify the exact package by filename, version and cryptographic hash.
10.5 The Customer is responsible for maintaining secure local backups of the downloaded Task Package and verifying its published checksum.
10.6 Yotta will use reasonable efforts to keep the purchased version available for re-download while the RLTasks service continues to operate, but does not promise to operate the service, Account portal or any storage system indefinitely.
10.7 Loss of Account access does not by itself terminate a valid paid-up licence, but Yotta may require reasonable identity, authority and purchase verification before restoring access.
10.8 The Customer must promptly notify Yotta of suspected unauthorised Account access, credential compromise or distribution of Yotta Materials.
11. Versions, updates and support
11.1 This licence applies only to the exact version, task IDs and artefacts identified in the Purchase Record and Delivery Manifest.
11.2 A later version, generator revision, namespace revision, replacement, additional task, compatibility update or expanded package is not included unless Yotta expressly adds it to the Purchase Record or supplies it under separate terms.
11.3 Yotta has no obligation to provide maintenance, updates, bug fixes, compatibility work, technical support, consulting or implementation assistance unless expressly stated in the Purchase Record.
11.4 Yotta may correct public listing information or withdraw a Licensed Item from future sale without affecting a Customer's existing paid-up licence to the downloaded version.
12. Hosted Verifier and hosted services
12.1 A Hosted Verifier is included only if the Purchase Record expressly states that it is included.
12.2 Hosted Verifier access is limited to the purchased Licensed Item and to the usage allowance, access period, concurrency, rate limits and other conditions stated in the Purchase Record or accompanying documentation.
12.3 Hosted access is a service and is not perpetual unless the Purchase Record expressly says so. Expiry or exhaustion of Hosted Verifier access does not terminate the Customer's licence to the downloaded Task Package.
12.4 Yotta will provide any paid Hosted Verifier with reasonable care and skill, but unless the Purchase Record states a service level, no availability or response-time commitment applies.
12.5 Yotta may suspend Hosted Verifier access to address security risks, abuse, unlawful activity, excessive load, non-payment or a material breach. Where reasonably possible, Yotta will give notice and an opportunity to remedy the issue.
12.6 Yotta may process submitted patches, outputs, logs and associated technical metadata to operate, secure, troubleshoot and score the Hosted Verifier. Yotta will not use Customer confidential submissions to train a general-purpose model, disclose them to another customer or publish Customer-specific results without the Customer's permission, except where required by law or separately agreed in writing.
12.7 The Customer must not submit personal data or third-party confidential information through a Hosted Verifier unless the parties have agreed appropriate data-processing and confidentiality terms in writing.
12.8 Yotta may perform maintenance, change infrastructure or discontinue hosted access after the stated allowance or access period has ended.
13. Fees, taxes and payment
13.1 The Customer must pay the price shown at checkout in United States dollars, together with any applicable tax displayed at checkout.
13.2 Except where checkout expressly states otherwise, prices exclude taxes, duties and levies imposed on the transaction, other than taxes based on Yotta's net income.
13.3 Licence rights arise only after Yotta or its payment processor confirms successful payment.
13.4 A payment processor acts only as a payment-services provider and does not become a party to this licence.
13.5 If a payment is fraudulent, refunded at the Customer's request without Yotta's agreement, reversed, charged back or otherwise not finally received, the corresponding licence and entitlement end unless Yotta confirms otherwise in writing. Clause 22.5 does not preserve rights arising from an unpaid or fraudulently obtained Order.
13.6 Yotta or its payment processor may issue a receipt or invoice using the billing details supplied by the Customer. The Customer is responsible for providing complete and accurate billing and tax information.
14. Defects, remedies and refunds
14.1 Because the Task Package is supplied as downloadable business digital content, Orders are final except as expressly stated in this clause or required by applicable law.
14.2 The Customer must notify Yotta within 30 days after delivery if an artefact identified in the Delivery Manifest:
- cannot be downloaded or opened using the stated format;
- does not match the Licensed Item, task ID or version purchased;
- fails checksum verification due to a delivery-side error; or
- materially fails to conform to the express technical description archived at the time of purchase.
14.3 A model's failure to pass, a lower-than-expected reward, inability to reproduce a published model result, or a result caused by the Customer's model, tool policy or inference settings is not by itself a defect.
14.4 The notice must include sufficient information to reproduce or verify the issue.
14.5 If Yotta confirms a qualifying defect, Yotta may, at its option:
- provide a corrected copy of the same version;
- repair or replace the affected component within a reasonable time; or
- refund the amount paid for the affected Licensed Item, after which the licence and entitlement to the Task Package end, subject to clause 22.7.
14.6 These remedies do not apply to problems caused by:
- the Customer's modifications;
- unsupported infrastructure or third-party changes;
- failure to follow the supplied instructions;
- use outside documented resource or runtime requirements; or
- Third-Party Materials outside Yotta's reasonable control.
15. Warranties and disclaimers
15.1 Yotta warrants that, at the time of delivery:
- it has authority to grant the rights expressly granted in Yotta's original materials; and
- the delivered Task Package will materially correspond to the express description archived for the purchased version.
15.2 Yotta does not intentionally include code designed to damage the Customer's systems, exfiltrate Customer data or operate as malware. This does not replace the Customer's obligation to inspect executable materials and operate them in an appropriately isolated environment.
15.3 The Customer warrants that it:
- has authority to enter into this licence;
- will use the Licensed Item only for lawful business purposes;
- has all rights necessary for material it submits to a Hosted Verifier; and
- will maintain appropriate security controls for the Account, Yotta Materials and credentials.
15.4 Except for the express warranties in this licence and to the fullest extent permitted by law, the Licensed Item and Hosted Verifier are provided as is and as available, and Yotta excludes implied terms concerning satisfactory quality, fitness for a particular purpose, correspondence with description beyond the express archived description, non-infringement, uninterrupted availability and error-free operation.
15.5 Yotta does not warrant that:
- a Customer Model will improve, achieve a particular score or pass the Licensed Item;
- published baseline, calibration or model results will be reproduced on the Customer's infrastructure;
- the Licensed Item is suitable for production, safety-critical or regulated use;
- all defects, vulnerabilities or incompatibilities will be identified;
- a self-hosted sealed mode will remain uncontaminated if the Customer exposes evaluator source, seeds or fixtures to the acting model; or
- a container, repository or executable component is safe to run outside an appropriately isolated sandbox.
15.6 The Customer is responsible for reviewing the materials, operating executable components in a suitably isolated environment, maintaining backups and determining whether the Licensed Item is appropriate for its use case.
16. Intellectual-property claims
16.1 If a third party makes a claim that Yotta's original materials in the Licensed Item infringe that third party's intellectual-property rights, the Customer must promptly notify Yotta, provide reasonable cooperation and allow Yotta reasonable control of the defence and settlement.
16.2 If Yotta reasonably believes that such a claim is likely to prevent permitted use, Yotta may, at its option:
- obtain the right for the Customer to continue use;
- modify or replace the affected Yotta Materials with materially equivalent non-infringing materials; or
- terminate the affected licence and refund the amount paid for the affected Licensed Item.
16.3 This clause does not apply to claims caused by Customer Modifications, use outside this licence, combination with materials not supplied by Yotta where the claim would otherwise have been avoided, or Third-Party Materials identified as such.
16.4 This clause states the Customer's exclusive contractual remedy for a third-party intellectual-property claim concerning Yotta's original materials, without limiting liability that cannot lawfully be limited.
17. Limitation of liability
17.1 Nothing in this licence excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot lawfully be excluded or limited.
17.2 Subject to clause 17.1, neither party is liable to the other for indirect or consequential loss.
17.3 Subject to clause 17.1, Yotta is not liable for loss of profit, revenue, business, contracts, opportunity, anticipated savings, goodwill or data, whether direct or indirect.
17.4 Subject to clause 17.1, Yotta's total aggregate liability arising out of or in connection with an Order, the affected Licensed Item, any Hosted Verifier and this licence will not exceed the total amount actually paid by the Customer to Yotta for that affected Licensed Item.
17.5 The limitations in this clause apply regardless of the legal basis of the claim, including contract, tort, negligence, misrepresentation, restitution or breach of statutory duty, and apply to the fullest extent permitted by law.
17.6 Each party must take reasonable steps to mitigate losses for which it seeks recovery.
18. Customer indemnity
18.1 The Customer will indemnify Yotta against third-party claims, damages, liabilities and reasonable external legal costs to the extent arising from:
- the Customer's unauthorised distribution, sublicensing or disclosure of Yotta Materials;
- material submitted by or for the Customer that infringes third-party rights;
- the Customer's unlawful use of the Licensed Item or Hosted Verifier; or
- a material breach of clauses 4, 7 or 12 by the Customer, an Authorised User or a Permitted Service Provider,
except to the extent the claim was caused by Yotta's breach of this licence, negligence or wilful misconduct.
18.2 Yotta must promptly notify the Customer of an indemnified claim, allow the Customer reasonable control of the defence and settlement, and provide reasonable cooperation at the Customer's cost. The Customer may not settle a claim in a way that admits fault by Yotta or imposes a non-monetary obligation on Yotta without Yotta's written consent.
19. Confidentiality
19.1 Each party must protect the other party's confidential information using at least reasonable care and may use it only to perform or exercise rights under this agreement.
19.2 Yotta's confidential information includes non-public Yotta Materials, evaluator logic, hidden truth, holdouts, reference solutions, credentials, security information and non-public product documentation.
19.3 The Customer's confidential information includes non-public Customer Models, Customer Modifications, Customer Outputs, submitted patches, logs and business information disclosed to Yotta in confidence.
19.4 Confidential information does not include information that the receiving party can demonstrate:
- is or becomes public without breach of this agreement;
- was lawfully known without restriction before disclosure;
- is received lawfully from a third party without confidentiality duty; or
- is independently developed without use of the disclosing party's confidential information.
19.5 A party may disclose confidential information where required by law, court order or regulator, provided it gives prior notice where legally permitted and reasonably assists the other party in seeking protective treatment.
19.6 The confidentiality obligations continue for five years after termination, except for trade secrets, access credentials, hidden evaluator materials and information that remains protected for so long as it remains confidential by its nature.
19.7 Public Listing Content is not confidential.
20. Data protection
20.1 Yotta may process buyer, account, billing, entitlement, download, fraud-prevention and support data as described in its applicable privacy notice. This licence is not itself a privacy notice.
20.2 Unless otherwise agreed, each party acts as an independent controller for business contact and account data it processes for its own purposes.
20.3 If Yotta is to process personal data in a Customer submission on the Customer's behalf, the parties must first enter into any data-processing terms reasonably required by applicable law.
20.4 The Customer must minimise personal data submitted to a Hosted Verifier and comply with clause 12.7.
21. Security and audit records
21.1 The Customer must use reasonable organisational and technical safeguards to prevent unauthorised access to Yotta Materials and buyer-specific credentials.
21.2 Yotta may keep records of purchases, licence acceptance, entitlement checks, download-link issuance, downloads, Hosted Verifier requests, security events and administrative actions for security, fraud prevention, support, legal compliance and enforcement, subject to its privacy notice.
21.3 Yotta may ask the Customer for reasonable information to investigate suspected credential compromise, unauthorised distribution or material breach. This clause does not give Yotta a general right to inspect the Customer's systems.
21.4 Each party must promptly notify the other of a security incident that it reasonably believes materially affects the confidentiality or integrity of the other party's non-public materials or credentials.
22. Term and termination
22.1 This licence begins under clause 1.3. The licence to the downloaded Task Package is perpetual unless terminated under this clause.
22.2 Either party may terminate the agreement for a material breach that the breaching party fails to remedy within 10 Business Days after written notice describing the breach.
22.3 Yotta may terminate immediately by written notice where the Customer:
- intentionally distributes or sells non-public Yotta Materials without permission;
- deliberately compromises or attempts to extract a Hosted Verifier or its protected infrastructure;
- uses stolen, fraudulent or unauthorised payment credentials;
- is subject to sanctions that make continued performance unlawful; or
- fails to make final payment for the Order.
22.4 On termination, the Customer must cease using and delete the Task Package, non-public Generated Materials and credentials, except for copies required to be retained by law and inaccessible archival backups that remain subject to this licence until deleted in the ordinary course.
22.5 Where final payment was received and the Customer's pre-termination use complied with this licence, Customer Models and Customer Outputs created before termination may continue to be used, provided they do not expose or distribute Yotta Materials and their continued use does not perpetuate the breach that caused termination.
22.6 Clause 22.5 does not apply where the Order was fraudulent, payment was reversed or charged back, the licence was never validly granted, or termination resulted from intentional unauthorised distribution or deliberate compromise of a Hosted Verifier.
22.7 If Yotta refunds an Order under clause 14.5 for a confirmed defect, the Customer must cease using and delete the affected Task Package, but Customer Models and Customer Outputs created through compliant use before the refund may continue under clause 22.5 unless the refund offer expressly states otherwise and the Customer accepts that condition.
22.8 Clauses that by their nature should survive termination will survive, including clauses 5 to 9, 13, 16 to 21, 22.4 to 22.8, and 24 to 29.
23. Suspension
23.1 Yotta may temporarily suspend Account downloads or Hosted Verifier access where reasonably necessary to investigate suspected fraud, account compromise, security abuse, non-payment or a material breach.
23.2 Yotta will restore access when the relevant issue is resolved, unless the agreement is terminated.
23.3 Suspension does not revoke the Customer's lawful local copies of a paid-up Task Package, except where the licence has terminated.
24. Assignment
24.1 The Customer may not assign, transfer or novate this licence without Yotta's prior written consent.
24.2 Yotta may assign or transfer this agreement as part of a merger, corporate reorganisation, sale of business or assets, or transfer of the RLTasks business, provided the assignee assumes Yotta's obligations under this agreement.
24.3 A permitted successor to the Customer through a merger or sale of substantially all of the Customer's relevant business may request transfer of the licence. Yotta will not unreasonably withhold consent where the successor accepts this licence in writing and is not a material sanctions, security or payment risk.
25. Compliance with law
25.1 Each party must comply with laws applicable to its performance under this agreement.
25.2 The Customer must not export, re-export, access or use the Licensed Item in breach of applicable trade sanctions or export-control laws.
25.3 The Customer is responsible for determining whether its use of Customer Models, Customer Outputs or the Licensed Item is subject to sector-specific, safety, employment, financial, healthcare, defence, privacy or other regulatory requirements.
26. Notices
26.1 Notices to Yotta must be sent to hello@rltasks.com and, for formal legal notices, by prepaid post or recognised courier to Yotta's registered office stated above.
26.2 Notices to the Customer may be sent to the buyer account email or another legal-notice email recorded in the Customer's Account.
26.3 Email notices are treated as received on the next Business Day after sending, unless the sender receives a delivery-failure notice. Postal notices are treated as received two Business Days after posting within the United Kingdom and five Business Days after international dispatch.
27. Governing law and disputes
27.1 The parties will first attempt in good faith to resolve any dispute through direct discussions between authorised representatives.
27.2 This agreement and any non-contractual obligations arising from it are governed by the laws of England and Wales.
27.3 The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with this agreement.
28. Order of precedence and changes
28.1 If documents conflict, the following order of precedence applies:
1. the completed Purchase Record; 2. any written amendment signed or electronically accepted by both parties; 3. these licence terms; 4. the Delivery Manifest and task-specific technical schedule; 5. the archived marketplace listing as displayed at the time of purchase; and 6. other incorporated documentation.
28.2 Third-Party Materials remain subject to clause 9 notwithstanding the order above.
28.3 The licence version identified in the Purchase Record governs that Order. A later website version does not retrospectively reduce or materially alter rights already granted for a paid-up version unless the Customer expressly agrees.
28.4 Yotta may update these terms for future purchases by publishing a new version and effective date.
29. General
29.1 This agreement is the entire agreement concerning the Order and supersedes prior discussions, proposals and representations about it, except for fraudulent misrepresentation.
29.2 A waiver is effective only if in writing and does not waive a later breach.
29.3 If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.
29.4 Neither party is liable for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations already due.
29.5 The parties are independent contractors. This agreement does not create a partnership, joint venture, agency, employment or fiduciary relationship.
29.6 No person other than Yotta and the Customer has a right to enforce this agreement under the Contracts (Rights of Third Parties) Act 1999.
29.7 Headings and the plain-English summary do not affect interpretation.
29.8 References to writing include email and electronically accepted records. The agreement may be accepted and evidenced electronically.
29.9 The words including, includes and similar expressions are illustrative and do not limit the words preceding them.

- archive the marketplace listing and technical description shown at checkout;
- store the accepted licence version and hash in the Purchase Record; and
- make the completed Purchase Record, Delivery Manifest and licence available from the buyer's Account after payment.
